GigVyne Platform — Campus Talent Marketplace

1. Acceptance of Terms

These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('User') and GigVyne ('Company', 'we', 'us', 'our'), a Private Limited Company incorporated under the Companies Act, 2013, with its principal office in Pune, Maharashtra, India.

By registering on, accessing, or using the GigVyne platform at gigvyne.com ('Platform'), you unconditionally accept these Terms. These Terms are an electronic record under the Information Technology Act, 2000 and do not require physical or digital signatures to be binding.

2. Eligibility

  • Be at least 18 years of age
  • Be a citizen or resident of India, or an entity incorporated in India
  • Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
  • Not be barred from receiving services under any applicable law

Students must be currently enrolled in a recognised educational institution. SMEs must be registered business entities with valid GSTIN or company registration.

3. Nature of the Platform — Intermediary Status

GigVyne operates as an 'intermediary' as defined under Section 2(1)(w) of the Information Technology Act, 2000. GigVyne facilitates connections between Students and SMEs but is not a party to any contract formed between them. All contracts for gig work are formed directly between the Student and the SME.

4. User Accounts & Responsibilities

4.1 Account Registration

  • Each user must create one account only. Multiple accounts are strictly prohibited.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate, complete, and current information during registration.

4.2 Student Obligations

  • Complete gig deliverables within agreed timelines and to the standard specified in the gig brief
  • Maintain honest and accurate skill profiles and portfolio information
  • Communicate professionally with SMEs through the Platform at all times
  • Not share client contact information outside the Platform to circumvent the payment system
  • Submit milestone check-ins and final deliverables within the Platform only
  • Accept that a Platform Service Fee will be deducted from your payout upon payment release per the tiered schedule in Clause 6

4.3 SME Obligations

  • Post gigs with clear, accurate, and complete scope, deliverables, timelines, and budgets
  • Review submitted work within the 7-day review window and provide constructive feedback
  • Not contact Students directly outside the Platform to circumvent payment obligations
  • Pay the full gig amount plus the applicable SME platform fee into escrow before work commences
  • Treat Student talent with professional respect — harassment or abuse will result in immediate account termination

5. Prohibited Activities

  • Posting or soliciting gigs that involve illegal activities under any Indian law
  • Misrepresenting skills, qualifications, experience, or identity
  • Circumventing GigVyne's escrow system by transacting directly outside the Platform
  • Harassing, threatening, or abusing any other user
  • Uploading content that is defamatory, obscene, or violates third-party intellectual property rights
  • Attempting to reverse engineer, hack, or compromise the Platform's security
  • Creating fake reviews or manipulating the rating system
  • Violating the Information Technology Act, 2000, the Indian Penal Code, 1860, or any other applicable statute

6. Payment, Escrow & Fees

6.1 Dual-Sided Fee Architecture

GigVyne operates a dual-sided platform fee model. Both SMEs and Students contribute to platform revenue, enabling GigVyne to maintain SME fees below industry benchmarks while building a sustainable, growing marketplace.

6.2 Escrow Mechanism

  • SME deposits the full gig value plus the applicable SME platform fee into escrow upon selection of a Student
  • Funds remain in escrow throughout the gig duration
  • Student submits completed work on the Platform
  • SME has 7 calendar days to review and raise disputes
  • If no dispute is raised within 7 days, payment releases automatically
  • Student's Platform Service Fee is deducted from the released amount per the tier schedule above
  • In case of dispute, GigVyne mediates and determines payment release at its sole discretion

6.3 All Fees Include GST

All platform fees — both SME-side and Student-side — are inclusive of applicable Goods and Services Tax (GST) as required under the Central Goods and Services Tax Act, 2017. Tax invoices will be issued for all platform fee transactions.

6.4 Refunds

  • If a gig is cancelled before work commences — full refund of gig value to SME within 5–7 business days. SME platform fee non-refundable.
  • If a gig is cancelled after work commences — partial refund based on GigVyne's dispute resolution outcome
  • Student Platform Service Fees are non-refundable once work has been delivered and payment released

6.5 Fee Revision

GigVyne reserves the right to revise platform fees for both SMEs and Students with 30 days written notice via email or platform notification. Revised fees apply to new gigs posted after the effective date only — not to gigs already in progress.

7. Intellectual Property

All work product created by a Student under a gig is governed by the terms agreed between the Student and the SME. In the absence of explicit agreement, ownership vests in the SME upon full payment release. The Student retains portfolio display rights unless explicitly restricted. GigVyne's name, logo, platform design, and software are owned exclusively by GigVyne under the Copyright Act, 1957 and Trade Marks Act, 1999.

8. Dispute Resolution

8.1 Platform Mediation

  • Either party must raise a dispute within the 7-day review window through the Platform
  • GigVyne will acknowledge the dispute within 48 hours
  • GigVyne will review all submitted evidence and communicate a resolution within 7 business days
  • GigVyne's dispute resolution decision is final and binding with respect to escrow release

8.2 Governing Law & Jurisdiction

These Terms are governed by Indian law. Disputes unresolved through platform mediation shall be subject to mandatory arbitration under the Arbitration and Conciliation Act, 1996 in Pune, Maharashtra, and failing that, the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

9. Limitation of Liability

  • GigVyne's total liability shall not exceed the total platform fees paid by or to that user in the 3 months preceding the claim
  • GigVyne shall not be liable for indirect, incidental, or consequential damages
  • GigVyne shall not be liable for the quality or outcome of any gig work delivered by Students
  • GigVyne shall not be liable for losses caused by force majeure events

10. Termination

GigVyne may suspend or terminate accounts immediately for violation of these Terms, or with 30 days notice for any other reason. Users may terminate accounts at any time by written notice to hello@gigvyne.com, subject to completion of ongoing gigs and settlement of all pending fees on both sides.

11. Grievance Officer

12. Amendments

GigVyne reserves the right to modify these Terms at any time. Material amendments will be communicated via email or platform notification at least 15 days before taking effect. Continued use constitutes acceptance.
